Business of the AGM:
a) to confirm the minutes of the 2022 AGM.
b) to receive from the Committee reports on the activities of the association during the 2022 financial year,
c) to elect Committee members,
- Trustees (x 2)
- Secretary
- Communication Officer
- Diverter Switcher Coordinator
d) to receive and consider the 2022 financial statement
e) to consider and if thought fit amend the NSCSO Constitution by approving as a special resolution “That the NSCSO Constitution in the form presented to the meeting (and having previously been made available to members) be adopted as the NSCSO Constitution in substitution for and to the exclusion of the existing Constitution.”

EXPLANATORY MESSAGES TO MEMBERS
AGENDA ITEM c) – Nominations for committee members
Nominations of candidates for election as Trustee Committee Members of the association:
a. must be made in writing, signed by an approved representative of their home group and accompanied by the written consent of the candidate (which may be endorsed on the form of the nomination), and
b. must be delivered to the secretary of the association (either by mail or a scanned copy sent to the secretary’s email address, [email protected]) at least 7 days before the date fixed for the holding of the AGM at which the election is to take place.
Nominations of candidates for office-bearer positions may be made by any individual member of a Member Group of the association, provided they fulfill the conditions set out in Constitution.
Further nominations may also be made by those individual members attending the AGM at which the election is to take place. Nominations may also be made by phone or electronically prior to or during an AGM
AGENDA ITEM e) – Adopt NSCSO Constitution
The Special Resolution proposes to adopt a new Constitution to replace the existing Constitution.
The proposed NSCSO Constitution seeks to better align the operating practices of the central service office for members and AA Groups in Area E with the legal framework regulating an incorporated association.
As a special resolution, at least three-quarters of the votes cast by members of the association, entitled to vote, must be in favour of the resolution.
